These Terms of Use ("Terms") govern your access to and use of the NEUCARES website located at www.neucares.com (the "Site") and any related informational materials about our telehealth platform and services (collectively, the "Services"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. About NEUCARES

NEUCARES provides telehealth platform solutions and related information for healthcare organizations. The Site is intended for general informational purposes about our platform, capabilities, and how hospitals, specialists, and administrators may engage with NEUCARES. Clinical services, where provided, are subject to separate agreements between NEUCARES, participating providers, and client organizations.

2. Eligibility and acceptable use

You may use the Site only if you are at least 18 years old and able to form a binding contract.

You agree not to:

  • Use the Site in any unlawful manner or for any unlawful purpose;
  • Attempt to gain unauthorized access to any systems, accounts, or networks connected to the Site;
  • Interfere with or disrupt the integrity or performance of the Site;
  • Scrape, crawl, or use automated means to access the Site without our prior written consent;
  • Transmit malware, spam, or other harmful or deceptive content;
  • Misrepresent your affiliation with any person or entity.

3. No medical advice

Content on the Site is for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with questions about a medical condition. Never disregard professional medical advice or delay seeking it because of something you read on the Site.

4. Platform access and separate agreements

Access to the NEUCARES telehealth platform, hospital portals, specialist tools, Coordination Console, or other operational systems requires a separate written or click-through agreement with NEUCARES and/or your healthcare organization. These Terms do not govern your use of those production systems unless expressly incorporated by reference in your organization's agreement.

5. Intellectual property

The Site and its content—including text, graphics, logos, images, software, and design—are owned by NEUCARES or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and download content for personal, non-commercial informational use only. You may not copy, modify, distribute, sell, or create derivative works without our prior written permission.

6. Third-party links and services

The Site may link to third-party websites or services (for example, system status pages, CRM forms, or analytics providers). We do not control and are not responsible for third-party content or practices. Your use of third-party services is at your own risk and subject to their terms.

7. Disclaimer of warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUCARES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

9. Indemnification

You agree to indemnify and hold harmless NEUCARES and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

10. Changes to the Site and Terms

We may modify the Site or these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be noted on the Site. Continued use after changes constitutes acceptance of the revised Terms.

11. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site will be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

12. General provisions

If any provision of these Terms is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These Terms constitute the entire agreement between you and NEUCARES regarding the Site.
